Business Stage:
Established business (revenues of between $5m and $50m), in growth stage, with proven products, and a track record in sales growth and profitability.

Investment Range:
$3m to $8m, Equity Value $5m to $40m

Ownership Range:
Minority stake of between 20% and 40% of fully diluted equity post conversion.

Use of Funds:
For growth, including working capital. Temporary debt repayment (with redraw ability). Not to leave the company permanently (e.g. redeem existing shares)

Preferred Instrument:
Secured Convertible Note, redeemable at option of investor at maturity, 3-year term.
